Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ShopTech (the “Service”), a software application provided by Zack Dot Solutions LLC (“Zack,” “we,” “us,” or “our”), including our website at https://shoptech.app. By installing, accessing, or using the Service, you (“you” or “Merchant”) agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Service / App means ShopTech and all related features, software, and documentation.
  • Merchant means the business or individual that installs or uses the Service, typically through Shopify.
  • End Customer means a customer of the Merchant who may receive notifications sent through the Service.
  • Shopify means the Shopify platform through which the Service is made available.

2. The Service

ShopTech enables Merchants to record service items and send text-message notifications to their End Customers. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms. We may modify, update, or discontinue features of the Service at any time.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current.

4. Merchant Responsibilities and Consent

You are solely responsible for your use of the Service and for your relationship with your End Customers. In particular, you agree that:

  • you will obtain and maintain all legally required consents from End Customers before any message is sent to them, including valid opt-in consent to receive text messages;
  • you will provide End Customers with required disclosures and honor opt-out (STOP) and help (HELP) requests;
  • you will comply with all applicable laws and rules, including the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles and Best Practices, A2P 10DLC requirements, GDPR, and CCPA/CPRA;
  • you will only submit data you are authorized to provide, and you will not send unlawful, harmful, deceptive, or unsolicited content;
  • you will maintain your own privacy policy and lawful basis for processing End Customer data.

5. Messaging Compliance

The Service is intended for lawful, consent-based messaging. You must not use the Service to send messages in categories prohibited by carriers or law (including, without limitation, unlawful, fraudulent, or high-risk content). We may suspend or terminate messaging that violates these Terms, carrier rules, or applicable law, and we may honor carrier and regulatory requirements, including message filtering and opt-out enforcement.

6. Acceptable Use

You agree not to: (a) reverse engineer, copy, or create derivative works of the Service except as permitted by law; (b) interfere with or disrupt the integrity or performance of the Service; (c) attempt to gain unauthorized access to the Service or related systems; (d) use the Service to violate the rights of others or any applicable law; or (e) use the Service to transmit malware or engage in abusive, harassing, or deceptive activity.

7. Fees and Billing

If the Service or specific features are offered for a fee, you agree to pay all applicable charges as described at the point of purchase or in your plan. Unless stated otherwise, fees are non-refundable, and we may change pricing on prospective notice. Charges billed through Shopify are subject to Shopify’s billing terms.

8. Third-Party Services

The Service integrates with third-party platforms and providers, including Shopify and our SMS/telecommunications provider. Your use of those services is subject to their terms and policies. We are not responsible for third-party services, and their availability or changes may affect the Service.

9. Privacy and Data Protection

Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference. With respect to End Customer personal data, we act as a service provider / processor on behalf of the Merchant, and the Merchant acts as the controller. Each party will comply with applicable data-protection laws and the Shopify platform’s data-protection requirements.

10. Intellectual Property

The Service, including all software, content, and trademarks (including the ShopTech name and logo), is owned by Zack Dot Solutions LLC or its licensors and is protected by intellectual-property laws. Except for the limited license granted in these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MESSAGES WILL BE DELIVERED WITHOUT DELAY OR FAILURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZACK DOT SOLUTIONS LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU PAID NOTHING.

13. Indemnification

You agree to indemnify and hold harmless Zack Dot Solutions LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content or data, your messaging activity, or your violation of these Terms or applicable law, including any failure to obtain required End Customer consent.

14. Term and Termination

These Terms apply while you use the Service. You may stop using and uninstall the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or as otherwise permitted by law. Upon termination, the license granted to you ends, and provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration or small-claims resolution will be the state or federal courts located in California, and you consent to their jurisdiction, except where prohibited by applicable law.

16. Changes to These Terms

We may revise these Terms from time to time. Material changes will be indicated by updating the “Last Updated” date above and, where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
